These Terms & Conditions govern your use of ShoplyTrade and your purchase of goods, specifically mobile phones and mobile phone contracts, from ShoplyTrade Limited. By placing an order, you agree to follow these terms.
1. Interpretation & Definitions
1.1 Business
ShoplyTrade sells goods, mainly mobile phones and mobile phone contracts, to UK and selected international customers.
1.2 Business Day
A Business Day is any day other than Saturday, Sunday, or a public holiday in England when banks in London operate.
1.3 Business Hours
Business hours run from 9:00 am to 5:00 pm on any Business Day.
1.4 Conditions
The Conditions include all terms set in this document and any amendments made over time.
1.5 Contract
A Contract forms when ShoplyTrade accepts the Customer’s order in writing.
1.6 Customer
The Customer is the business entity purchasing goods from ShoplyTrade.
1.7 Data Protection Legislation
Refers to the UK GDPR or applicable EU GDPR laws regarding personal data protection.
1.8 Force Majeure Event
A Force Majeure Event is any circumstance beyond reasonable control, such as natural disasters, strikes, or government actions.
1.9 Goods
Goods are the products detailed in the Customer’s Order.
1.10 Order
An Order is the Customer’s purchase order or written acceptance of ShoplyTrade’s quotation.
1.11 Personal Data
Personal Data includes all information defined under Data Protection Legislation.
1.12 Supplier
ShoplyTrade Limited is registered in England and Wales (Company No. 12988425) with its office at 27 Old Gloucester Street, London, WC1N 3AX.
1.13 Warranty Period
The standard Warranty Period is three (3) months from the date of delivery.
2. Basis of Contract
These Conditions apply exclusively to the Contract and exclude any other terms from the Customer.

The Customer makes an offer to purchase goods by placing an Order.

ShoplyTrade accepts the Order in writing to create a binding Contract.

Samples, drawings, or product descriptions are for guidance and do not form part of the Contract.

Quotations remain valid for 14 Business Days.

The Customer confirms they act in a business capacity, not as a consumer.
3. Goods
3.1 Product Specifications
ShoplyTrade may amend product specifications to comply with statutory or regulatory requirements.
3.2 Product Descriptions
Catalogues or brochures provide approximate descriptions for guidance only.
4. Delivery
4.1 Delivery Notes
Every delivery includes a delivery note showing Order details, special storage instructions, and outstanding balances if delivered in instalments.
4.2 Delivery Locations
The Customer must clearly specify the delivery location.
4.3 Completion of Delivery
The Customer completes delivery by unloading the goods at the specified location.
4.4 Delivery Times
Delivery dates are approximate. ShoplyTrade is not liable for delays caused by Force Majeure or inadequate Customer instructions.
4.5 Non-Acceptance
If the Customer fails to accept delivery within three Business Days, ShoplyTrade considers delivery complete. Storage charges may apply.
4.6 Instalment Deliveries
ShoplyTrade may deliver by instalments. Each instalment forms a separate Contract, and delays in one do not affect others.
5. Quality & Warranty
5.1 Warranty Coverage
ShoplyTrade warrants that delivered goods will:

Match their description
-
Be free from material defects
-
Be of satisfactory quality
-
Be fit for any purpose stated by ShoplyTrade
5.2 Notification of Defects
The Customer must notify ShoplyTrade in writing about defects within the Warranty Period.
5.3 Remedies
ShoplyTrade may repair, replace, or refund defective goods.
5.4 Exclusions
Warranty excludes defects caused by misuse, negligence, alterations, or regulatory changes.
5.5 Legal Exclusion
Sections 13–15 of the Sale of Goods Act 1979 do not apply to the fullest extent permitted by law.
6. Title & Risk
6.1 Risk
Risk transfers to the Customer upon delivery.
6.2 Title
Title remains with ShoplyTrade until full payment is received.
6.3 Customer Obligations
Until title passes, the Customer must:

Store goods separately

Keep goods insured
-
Maintain identifying marks
6.4 Recovery of Goods
If payment is overdue, ShoplyTrade may recover the goods.
7. Delivery Locations & Charges

Orders are accepted from the UK and selected international countries.

Delivery charges are communicated at the time of Order.

Costs exclude import duties or taxes.

ShoplyTrade uses third-party logistics and cannot guarantee delivery times.
8. Refunds & Returns

Defective goods can be repaired, replaced, or refunded if reported within 30 days of discovery.

Returns for convenience may incur a 15% restocking fee.

Customers must obtain return authorisation before sending goods.

Customers bear return costs unless agreed otherwise.
9. Price & Payment

Prices follow the Order or ShoplyTrade’s published list.

Prices exclude VAT, packaging, insurance, and transport unless stated.

ShoplyTrade may adjust prices due to cost increases, Customer-requested changes, or delays caused by the Customer.

Payments are due upon Order placement unless agreed otherwise.

Late payments incur interest at 8% above Bank of England rate (or 4% if rate <0%).

Chargebacks or payment disputes breach the Contract.
10. Limitation of Liability

Liability is limited to the Contract’s value.

Excluded losses: profits, sales, agreements, goodwill, data, indirect or consequential losses.

Liability is not limited for death, personal injury, fraud, defective products, or legal obligations.
11. Termination
ShoplyTrade may terminate the Contract immediately if the Customer:

Commits a material breach and fails to remedy within 28 days

Enters insolvency, liquidation, or similar procedures
-
Fails to pay amounts due
Termination does not affect accrued rights.
12. Force Majeure
Neither party is liable for delays or failures caused by Force Majeure. If delays exceed one month, the unaffected party may terminate with 30 days’ notice.
13. General
13.1 Assignment
ShoplyTrade may assign or subcontract rights. Customers need written consent to assign obligations.
13.2 Confidentiality
Both parties must keep confidential information secure and use it solely to perform the Contract.
13.3 Data Protection
Both parties comply with UK GDPR/EU GDPR laws. ShoplyTrade acts as Controller/Processor; Customers ensure lawful data transfer.
13.4 Entire Agreement
This Contract represents the full agreement. No other statements, warranties, or representations apply unless written.
13.5 Notices
Notices must be in writing, sent by hand, post, or email. Notices are deemed received according to Business Hours.
13.6 Third-Party Rights
No rights arise under the Contracts (Rights of Third Parties) Act 1999.
13.7 Governing Law & Jurisdiction
English law governs this Contract. Courts of England and Wales have exclusive jurisdiction.
